These Terms of Service (“Terms”) govern your access to and use of the Vyken™ property vulnerability intelligence platform, the websites at vyken.ai and vykensystems.ai, and related services (collectively, the “Services”), provided by Vyken Systems, LLC (“Vyken™,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Acceptance of these terms
By creating an account, submitting a request, making a purchase, or otherwise using the Services, you represent that you are at least 18 years old and agree to be bound by these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.
2. The Services & advisory nature
Vyken™ provides AI-assisted, CPTED + CARVER Asset Protection Matrix™-based property vulnerability assessments and related reports, which may be reviewed by industry and security experts. Our assessments and reports are advisory and informational only. They are intended to help you understand and reduce risk — they are not a guarantee of safety and do not guarantee the prevention of any crime, intrusion, harm, loss, or incident. You are solely responsible for decisions you make based on our Services, including whether and how to implement any recommendation. Vyken™ is not a guard, alarm, monitoring, or emergency-response service.
3. Eligibility & accounts
You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any account credentials and access links we issue. You agree to notify us promptly of any unauthorized use. We may refuse, suspend, or terminate Services at our discretion, including where we suspect misuse.
4. Your content & property data
You retain ownership of the photographs, property details, and other materials you submit (“Your Content”). You grant Vyken™ a limited, non-exclusive license to use, process, and store Your Content solely to provide, support, and improve the Services and to produce your assessment, as described in our Privacy Policy.
You represent and warrant that you own or have permission to submit Your Content, that you are authorized to request an assessment of the property in question, and that doing so does not violate any law or the rights of any third party (including the privacy or property rights of others).
5. Acceptable use
You agree not to:
- Use the Services to plan, facilitate, or assist any unlawful act, intrusion, surveillance, or harm to any person or property;
- Submit a property assessment request without proper authorization for that property;
- Misrepresent your identity or your relationship to a property;
- Reverse engineer, scrape, disrupt, or attempt to gain unauthorized access to the Services;
- Resell, sublicense, or publicly distribute our reports or methodology without our written permission;
- Use the Services in violation of any applicable law or regulation.
Vyken™ reports are provided for the lawful protection of the assessed property and must not be used to identify or exploit vulnerabilities for any improper purpose.
6. Orders, fees & payment
Fees for assessments and subscriptions are described at the time of purchase. Payments are processed by our third-party payment processor (Square); by purchasing, you authorize the applicable charges. Unless required by law or stated otherwise, fees are non-refundable once an assessment has been delivered. Subscription plans renew on the stated cadence until cancelled; you may cancel future renewals as described at purchase or by contacting us.
7. Intellectual property
The Services, including our software, scoring methodology, report formats, text, graphics, logos, and the Vyken™ and Vyken Systems™ names and marks, are owned by Vyken Systems, LLC and protected by intellectual-property laws. Except for the limited rights expressly granted to you, we reserve all rights. We grant you a limited, non-transferable license to use the assessment report we deliver for your own internal, lawful purposes related to the assessed property.
8. Disclaimers
THE SERVICES AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ASSESSMENT WILL IDENTIFY EVERY VULNERABILITY OR PREVENT ANY INCIDENT. SECURITY RISK CANNOT BE ELIMINATED.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Vyken Systems, LLC AND ITS PERSONNEL AND REVIEWERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS, THEFT, INJURY, DAMAGE, OR INCIDENT AFFECTING ANY PERSON OR PROPERTY, ARISING OUT OF OR RELATED TO THE SERVICES OR ANY REPORT. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Vyken Systems, LLC and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, your violation of these Terms, or your violation of any law or third-party right.
11. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
12. Governing law & disputes
These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in New Jersey, and you consent to their jurisdiction, except where applicable law provides otherwise.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
